The undersigned individual(s) or institution ("Proposed Lead Plaintiff") hereby authorizes Emerson Poynter LLP ("Emerson Poynter") to file a complaint and/or apply for appointment of the undersigned as a Lead Plaintiff and for appointment of Emerson Poynter as Lead Counsel in connection with federal securities litigation seeking damages and other relief against and any other persons or entities that may have liability in this matter. The undersigned retains Emerson Poynter as the undersigned's attorney in this matter, which retention will be effective if and when accepted by Emerson Poynter. The retention agreement, upon execution by Emerson Poynter, is incorporated herein. If appointed, Emerson Poynter will prosecute this litigation on a contingent fee basis and will advance all costs and expenses. The proposed Lead Plaintiff will not incur any out-of-pocket expenses.

The lead plaintiff certifies that:

1.	I have reviewed the Complaint and I request that Emerson Poynter act as my counsel in this matter in applying for Lead Plaintiff status and for all purposes.

2.	I did not acquire the security that is the subject of this action at the direction of plaintiff's counsel or in order to participate in this private action or any other litigation under the federal securities laws.

3.	I am willing to serve as a Lead Plaintiff either individually or as part of a group. A Lead Plaintiff is a representative party who acts on behalf of other class members in directing the action, and whose duties may include providing testimony at deposition and trial, if necessary.
